During this period, Penny may provide you with early or limited access to features, tools, content, functionality, support services or partner introductions for the purpose of testing, feedback and improvement.
3.5 Unless otherwise specified in writing, the Beta Period begins on the date you first gain access to Penny’s beta platform, program or services and continues until Penny notifies you via email or on the Penny website that the Beta Period has ended.
3.6 During the Beta Period:
- Features may be incomplete, modified, suspended or removed at any time.
- Service performance, data accuracy and availability may vary.
- Penny may request feedback from you to support product development.
- Access may be free or discounted at Penny’s discretion.
- You agree that Beta services are provided on an “as is” and “as available” basis.
4. Acceptable Use of the Site
4.1 You must comply with all applicable laws, codes, regulations, and these Terms and Conditions.
4.2 You must not:
- Copy, modify, or create derivative works based on Site content.
- Infringe on the rights, including intellectual property, privacy, or confidentiality rights, of any third party.

5. Account Managementand User Responsibilities
5.1 To use our web application, you must create an account and agree to these Terms and Conditions. This forms a legal agreement between you and Penny, including any agreed fees.
5.2 You are responsible for:
- ensuring the information you provide for your Account is accurate, complete and kept up to date
- keeping your login details and any security credentials for your Account confidential
- ensuring your Account is only accessed and used by you (or any person you have expressly authorised to use it, if we allow this)
- all activity that occurs under your Account, except where that activity results from our failure to take reasonable security measures.
5.3 You must contact us immediately on the Penny contact format if you suspect unauthorised use or access to your account.
5.4 You may request deletion of your Account at any time by using the “Delete your account” link in the “My account” section or by contacting us via the Penny contact form.
5.5 When your Account is deleted:
- your ability to access the web application and your Account will stop
- we may retain certain records relating to your Account and your use of the web application where we are required to do so for legal, regulatory, taxation or legitimate business purposes
- any rights and obligations that, by their nature, are intended to continue after Account deletion (including payment obligations incurred before deletion and our limitation of liability) will continue to apply.
5.6 We may suspend or terminate your Account in accordance with clause 11 (Suspension and termination).
6. Intellectual Property
6.1 Penny owns all rights to the Site and its content.
6.2 These Terms and Conditions do not transfer any intellectual property rights to you.
6.3 You must not use, adapt, reproduce, or distribute any Penny content without written consent.
7. Third-Party Links and Content
7.1 The Site may utilise third-party tools and software. You agree the use of these tools is at your own risk.
7.2 The Site may contain links to third-party websites or content. Your use of such links is at your own risk, and we are not responsible for their content.
7.3 Articles on this Site may include embedded content (e.g. videos, images, articles, etc.). Embedded content from other websites behaves in the exact same way as if the visitor has visited the other website.
7.4 These websites may collect data about you, use cookies, embed additional third-party tracking, and monitor your interaction with that embedded content, including tracking your interaction with the embedded content if you have an account and are logged in to that website.
8. Data Ownership and Use
8.1 You own all rights to your Customer Data. Penny is not responsible for its accuracy.
8.2 Subject to our Privacy Policy, you grant us a license to use Customer Data for business purposes after it has been de-identified.

9.1 Your use of our Site will involve our collection of, and your disclosure and transmission of, personal information (as defined in applicable privacy laws) to us. Our practices are governed by our Privacy Policy.
9.2 We may share your personal information and profile with select Service Providers. Access to your profile is subject to our evaluation, and we reserve the right to decline or discontinue third-party access.
10. Media
10.1 If you upload images to the website, you should avoid uploading images with embedded location data (EXIF GPS) included. Visitors to the website can download and extract any location data from images on the website.
11. Data Hosting and Security
11.1 Your data is stored on third-party cloud servers with industry-standard security.
12. Site Availability
12.1 We will strive to maintain Site availability; however, we cannot guarantee uninterrupted access. You acknowledge that internet connectivity is inherently variable, and we cannot control external security factors.
12.2 We may perform scheduled or unscheduled maintenance, which may temporarily disrupt Site access. We will endeavour to schedule maintenance outside of normal business hours (AEST).
12.3 We are not liable for any losses incurred due to Site unavailability.
13. Account Suspension and Termination
13.1 We may suspend or terminate your Account if we reasonably believe:
- You materially breach these Terms and Conditions and fail to remedy the breach within a reasonable period, or if the breach is incapable of remedy.
- Your account should be removed due to prolonged inactivity;
- It is necessary to prevent damage to or disruption of the Site;
- Our provision of the Site is no longer commercially viable; and
- To protect us from potential liability, including compliance with applicable law.
- Provided false or misleading financial information.
- Engaged in fraudulent activity.
- Violated any applicable laws or regulations.
13.2 Upon Account termination:
- You must immediately cease using the Site.
- We will delete your Account.
- We will make reasonable efforts to notify you by the email address associated with your account.
14. Liability and governing law
14.1 Nothing in these Terms limits your rights under Australian Consumer Law or any other applicable law that cannot be excluded, restricted, or modified.
14.2 To the fullest extent permitted by law, our liability is limited to resupplying the Site or refunding applicable fees.
14.3 We are not liable for indirect or consequential losses.
14.4 We are not liable for any losses resulting from inaccurate Customer Data or your failure to ensure its accuracy.
14.5 These Terms are governed by the laws of New South Wales, Australia. If there’s a dispute, it’ll be handled in the courts of New South Wales.
14.6 If any provision of this agreement is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
